Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website and services provided by Value Forge Limited ("The Value Forge", "we", "us", "our"). By using our website or engaging our services, you agree to these Terms.
1. Our Services
The Value Forge provides Google Ads, YouTube Ads, Google Shopping, and Performance Max advertising management services on a performance-based pricing model. Specific deliverables, fees, and performance metrics are defined in a separate written engagement agreement signed between us and each client.
2. Performance-Based Pricing
Unless otherwise agreed in writing, our fees are calculated as a percentage of the incremental revenue or profit we generate above an agreed baseline. You remain responsible at all times for the cost of media spend on advertising platforms (e.g. Google Ads). Media spend is paid directly by you to the platform.
3. Client Responsibilities
- Provide timely access to ad accounts, analytics, and tracking systems.
- Provide accurate information about your products, offers, and historical performance.
- Comply with all applicable advertising platform policies and laws.
- Pay invoices within the agreed payment terms.
4. Term & Termination
Engagements run on a month-to-month basis unless otherwise agreed. Either party may terminate the engagement on 30 days' written notice. Fees earned up to the termination date remain payable.
5. Confidentiality
Each party agrees to keep confidential any non-public information shared during the engagement and to use it only for the purposes of fulfilling the agreement.
6. Intellectual Property
You retain ownership of your brand assets, creative materials, and ad account data. Any strategy documents, frameworks, or tooling developed by The Value Forge remain our intellectual property. You receive a non-exclusive licence to use deliverables for your internal business purposes.
7. Limitation of Liability
To the maximum extent permitted by law, our total aggregate liability under any engagement is limited to the fees paid to us in the three months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential losses, or for losses caused by changes to advertising platforms outside our control.
8. No Guarantee of Results
While we operate on a performance-based model, we do not guarantee specific business outcomes. Advertising performance depends on many factors including market conditions, product–market fit, and platform changes.
9. Governing Law
These Terms are governed by the laws of the Hong Kong Special Administrative Region. Any disputes will be resolved exclusively in the courts of Hong Kong.
10. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated to active clients in writing. Continued use of our services constitutes acceptance of the updated Terms.
